Edita Group restructuring: Separation of divested group companies

As part of its 2021-2025 transformation, Edita Group's divestments have embedded its subsidiaries within new corporate environments, paving the way for their future growth.

The challenge

Edita Group is a uniquely positioned and evolving group of companies. Its history dates back to 1859, when it was the Imperial Senate Printing Press in Helsinki. In 2021, the Group consisted of three separate media, printing, and publishing companies, the result of several mergers and acquisitions.

In 2021, the Group decided to divest the data-driven marketing and service design-focused Nordic Morning business area, operating in Finland and Sweden. In 2024, the Group divested its subsidiary Edita Prima, which focused on customer communication services. And, in 2025, the Group announces the discontinuation of the learning material business of its subsidiary Edita Oppiminen and the divestment of EdilexLakitieto, a provider of legal information services.

Due to the restructuring journey, the Group finally consisted of Virallinen lehti, the Finnish statutory official gazette, and Edita Group Plc, the group parent company, including administrative functions. In addition to multiple simultaneous separation project planning and implementation, the remaining group entities needed an optimal operative structure for the future.

How Midagon helped

With all divested Group companies, the separation activities impacted all Group and subsidiary functions, particularly IT. To ensure the timely completion of the divestments and, in parallel, business continuity, Midagon helped Edita Group establish focused carve-out projects to complete the full separation of the IT, Finance, and HR services. 

To support the Edita Group’s in-house team, valuable external resources were onboarded from Midagon. Midagon team members acted as the Interim CIO to lead the overall IT function and to architect the target IT stack, and as the Separation Project Manager to lead the delivery of separation activities from planning to execution and post-go-live support. In this capacity, the Midagon team supported the project planning for rightsizing the post-divestment Group functions.

Results achieved

The Midagon team members played a significant role in planning and executing the separation activities. With considerable experience implementing significant carve-outs, Midagon’s team provided valuable insight to ensure the smooth ramp-up, quality, and consistency of the separation activities.

Nordic Morning, Edita Prima, and Edilex Lakitieto separation projects were implemented as planned, meeting the schedule and budget targets and maintaining high customer and staff satisfaction during the transitions. This, combined with the Group functions’ resizing towards the end of 2025, enabled Edita Group to achieve its strategic targets.

Key business impact 

  1. The divested Group subsidiaries were separated from the Edita Group as planned.

  2. As a result of the successful IT separation, the former subsidiaries—now independent companies or part of another company—received a fully working IT stack, ready to start daily operations on Day 1.

  3. Business continuity, as well as a high level of staff and customer satisfaction, was ensured during the separation activities and post-go-lives.
